Riposte Terms of Service

1. Overview

These Terms of Service (“Terms”) govern your access to and use of the Riposte platform, related websites, documentation, and support services (collectively, the “Services”) provided by Riposte Inc. (“Riposte,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization, in which case “you” or “Customer” refers to that organization.

2. Eligibility and Accounts

  • You must be at least 18 years old and capable of entering into a binding agreement to use the Services.
  • Account registration requires accurate, complete information, and you agree to keep account details current.
  • You are responsible for maintaining the confidentiality of authentication credentials and for all activity under your account.
  • We may suspend or terminate access if we reasonably believe you have violated these Terms.

3. Subscriptions, Fees, and Taxes

  • Access to certain Services requires a paid subscription. Pricing, limits, and included features are described in the applicable order form, invoice, or online checkout.
  • Fees are due in the currency indicated at checkout and are non-refundable except where required by law or expressly stated otherwise in writing.
  • Unless exempt by law, you are responsible for all taxes and governmental charges associated with your purchase. We may collect and remit taxes where required.
  • Subscriptions renew automatically at the end of each term unless cancelled before renewal. You may cancel renewal through your account or by contacting [email protected].

4. Customer Responsibilities and Acceptable Use

  • You will configure and operate self-hosted deployments in accordance with supplied documentation and applicable laws.
  • You may not misuse the Services by attempting to gain unauthorized access, disrupting network or service operations, or transmitting malware or illegal content.
  • You are solely responsible for obtaining necessary notices, consents, and permissions from end users or third parties whose data is processed through the Services.
  • You will comply with all export, import, and sanctions laws in connection with your use of the Services.

5. Customer Data and Confidential Information

  • “Customer Data” means data, content, or materials you or your end users submit to or store within the Services, including data processed through self-hosted deployments.
  • You retain all rights in Customer Data. Riposte will only access or use Customer Data as necessary to deliver the Services, provide support, comply with law, or as otherwise permitted in writing.
  • Each party agrees to protect the other party’s non-public information using reasonable safeguards and to only use such information to perform its obligations under these Terms.

6. Intellectual Property

  • Riposte and its licensors own all intellectual property rights in the Services, including software, documentation, trademarks, and branding. No rights are granted except as expressly stated in these Terms.
  • Subject to your compliance with these Terms, Riposte grants you a limited, non-exclusive, non-transferable license to install, configure, and use the Services during your subscription term.
  • You may not copy, modify, reverse engineer, or create derivative works of the Services except to the extent permitted by applicable open-source licenses or mandatory law.
  • You grant Riposte a limited right to use your name and logo to identify you as a customer, unless you opt out in writing.

7. Feedback

If you provide ideas, suggestions, or feedback regarding the Services (“Feedback”), you grant Riposte a perpetual, irrevocable, royalty-free license to use the Feedback for any purpose without obligation to you.

8. Security and Data Protection

Riposte maintains administrative, technical, and physical safeguards designed to protect Customer Data processed through managed Services. You are responsible for securing your own infrastructure, networks, and self-hosted deployments. Additional details are described in the Privacy Policy and security documentation.

9. Third-Party Services

The Services may enable integrations with third-party applications. Third-party services are governed by their own terms and policies, and Riposte is not responsible for their acts or omissions. You are responsible for enabling, configuring, and maintaining third-party integrations.

10. Warranties and Disclaimers

  • Each party represents that it has the legal authority to enter into these Terms.
  • Riposte provides the Services “as is” and “as available.” Except as expressly stated in these Terms, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • Riposte does not warrant that the Services will be uninterrupted, error-free, or meet your specific requirements.

11. Indemnification

You will defend, indemnify, and hold harmless Riposte, its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) Customer Data, (b) your use of the Services in violation of these Terms, or (c) your violation of applicable law or third-party rights.

12. Limitation of Liability

  • To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special, or punitive damages, or lost profits or revenues, even if the party knew or should have known of the possibility of such damages.
  • To the extent permitted by law, each party’s aggregate liability arising out of or relating to the Services is limited to the amounts paid or payable by you to Riposte for the Services during the twelve (12) months preceding the event giving rise to the claim.
  • These limitations do not apply to your payment obligations or either party’s liability for gross negligence, willful misconduct, or infringement of the other party’s intellectual property rights.

13. Suspension and Termination

  • You may stop using the Services at any time. Termination of your subscription does not entitle you to a refund of prepaid fees.
  • Riposte may suspend or terminate access to the Services if you materially breach these Terms, fail to pay undisputed fees, or create a security risk.
  • Upon termination, your right to access the Services ends. Sections that by their nature should survive will continue in effect, including Sections 5–15.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, excluding its conflict of laws principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in San Francisco County, California. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Updates to These Terms

We may modify these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will provide notice of material changes by posting the updated Terms on our website or by email. Changes become effective on the date specified in the notice. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
